IntelliMed AI – Terms and Conditions

1. Description of Services

IntelliMed provides an AI-powered platform designed to support outpatient medical practices by assisting with administrative workflows and clinical documentation.

The platform may include AI agents such as:

  • Phone triage and scheduling
  • Fax intake and routing
  • Patient check-in
  • Intake assistance
  • Chart preparation
  • Clinical documentation support
  • Clinical guideline reference
  • Billing code suggestions


The platform is intended to assist clinical workflows and not replace licensed medical professionals.

2. Eligibility

You may use IntelliMed only if: 

  • You are 18 years or older
  • You are authorized by a medical practice or organization
  • You agree tocomply withall applicable laws and regulations


Healthcare providers using IntelliMed must maintain appropriate licensure in their jurisdiction.
 

3. Medical Disclaimer

IntelliMed does not practice medicine. 

The Services: 

  • Do not provide medical diagnosis
  • Do not replace physician judgment
  • Do notestablisha physician–patient relationship


All AI-generated outputs are assistive tools only. Licensed clinicians must review, validate, and approve all medical documentation and clinical decisions.
 

4. HIPAA and Protected Health Information

IntelliMed is designed to operate in a HIPAA-compliant environment when configured appropriately. 

Healthcare organizations using IntelliMed agree to: 

  • Execute a Business Associate Agreement (BAA) ifrequired
  • Maintainproper safeguards for Protected Health Information (PHI) 
  • Ensure authorized users only access patient data


IntelliMed will maintain reasonable administrative, physical, and technical safeguards to protect data.
 

5. User Accounts

To access certain services, users must create an account. 

Users agree to: 

  • Provideaccurateinformation 
  • Maintainconfidentiality of login credentials 
  • NotifyIntelliMedimmediately of unauthorized use


Organizations are responsible for managing user access within their practice.
 

6. Acceptable Use

Users agree not to: 

  • Use the platform for unlawful purposes
  • Upload malicious software
  • Attemptto reverse engineer the platform 
  • Misrepresent AI outputs as physician-generated without review
  • Share access credentials improperly

Violation may result in suspension or termination of access. 

7. AI Limitations

Artificial intelligence systems may produce incomplete or incorrect outputs. 

Users acknowledge: 

  • AI-generated content requires human oversight
  • Outputs should be reviewed before clinical or billing use
  • IntelliMeddoes not guarantee accuracy of AI-generated suggestions 

 
Clinical decisions remain the responsibility of licensed professionals. 

8. Data Ownership

Customer organizations retain ownership of: 

  • Patient records
  • Clinical documentation
  • Uploaded files
  • Practice data


IntelliMed may use de-identified and aggregated data to:
 

  • Improve platform performance
  • Train AI systems
  • Develop product features


No identifiable patient data will be used without authorization.

9. Integration with Third-Party Systems

IntelliMed may integrate with external systems including: 

  • Electronic Health Records (EHR)
  • Billing systems
  • Telephony providers
  • Fax services
  • Third-party AI infrastructure


IntelliMed is not responsible for outages or issues caused by third-party services.
 

10. Fees and Payment

Certain features require a paid subscription. 

Fees may include: 

  • Monthly platform subscription
  • Per-provider licensing
  • Usage-based services


Payments are due according to the billing plan agreed upon.
 

Failure to pay may result in suspension of access.

11. Intellectual Property

All IntelliMed intellectual property remains the exclusive property of IntelliMed, including: 

  • Software
  • AI models
  • Agent architecture
  • Branding and trademarks


Customers receive a limited, non-transferable license to use the platform.

12. Confidentiality

Both parties agree to protect confidential information including: 

  • Clinical workflows
  • Proprietary technology
  • Business strategies
  • Pricing and contracts


Confidential information may not be disclosed without permission.
 

13. Limitation of Liability

To the maximum extent permitted by law, IntelliMed shall not be liable for: 

  • Clinical decisions made by providers
  • Loss of revenue
  • Data loss caused by third-party integrations
  • Indirect or consequential damages

     

Total liability shall not exceed the fees paid to IntelliMed in the previous 12 months.

14. Indemnification

Users agree to indemnify and hold harmless IntelliMed from claims arising from: 

  • Improper use of the platform
  • Failure to review AI outputs
  • Violation of healthcare regulations
  • Unauthorized access to PHI

15. Service Availability

We strive for high uptime but cannot guarantee uninterrupted service. 

Maintenance, updates, and external system failures may occasionally impact availability.

16. Termination

IntelliMed may suspend or terminate access if: 

  • Terms are violated
  • Payment obligations are not met
  • Security risks are detected

Customers may terminate according to their subscription agreement. 

17. Changes to Terms

IntelliMed may update these Terms periodically. 

Continued use of the Services after updates constitutes acceptance of the revised Terms.
